The ground rules for working with us: what we deliver, how billing works, who owns what, and how either of us can end the arrangement. Written to be readable, not to hide anything.
These terms apply to services provided by Mike’s Marketing Solutions Inc. (“we”, “us”), of 18 Beverley St., Toronto, Ontario, to you as a client (“you”).
When you accept a written quote or proposal from us, these terms form part of that agreement. If anything in a signed proposal contradicts these terms, the proposal wins.
We provide social media management, paid search and paid social advertising, email marketing, website design and development, content creation, and related marketing services.
Exactly what’s included for you is set out in your quote — which platforms, how many posts or campaigns, what reporting, and what turnaround. Anything outside that scope is quoted separately before we start it. We’ll never do extra work and surprise you with the bill.
We’ll give you at least 60 days’ written notice before changing your monthly fee, and never in your first six months.
Advertising budget is separate from our management fee. You pay Google, Meta or any other platform directly from your own account, using your own payment method.
We do not mark up your ad spend or take a percentage of it, and we never exceed the monthly cap you’ve set without your written approval. Platform costs can fluctuate — where they do, we adjust bidding to stay inside your cap rather than spending more.
All ongoing services are month-to-month. There is no minimum term and no cancellation fee.
Either of us can end the arrangement by giving 30 days’ written notice by email. You’ll be invoiced for that final month’s work and nothing beyond it. We’ll finish anything already in progress, hand over your files and access, and remove ourselves from your accounts.
We may end an engagement immediately, without notice, if asked to do something illegal or misleading, or in breach of a platform’s rules — or in cases of abuse toward our team.
Our work depends on a few things from your side:
If material you supply turns out to infringe someone else’s rights, you remain responsible for it. Where deadlines slip because we’re waiting on you, we’ll reschedule rather than rush the work.
Nothing is published, sent or launched without your approval. You’ll see content calendars, ad copy, keyword lists and designs before they go live, and you can change anything on them.
Creative projects include the number of revision rounds stated in your quote. Additional rounds, or a change of direction after approval, are quoted as extra work first. Once you’ve approved something and it’s live, you’re taken to have accepted it.
Once a project is paid for, the finished work is yours outright — photography, video, graphics, copy, designs and code. That includes the raw files, with no watermarks.
We keep ownership of our own internal templates, processes and tools, which we reuse across clients. Any third-party asset with its own licence — a stock font, a plugin, a theme — remains under that licence, and we’ll tell you when one is involved.
Unless you ask us not to, we may show completed work in our portfolio and marketing. Tell us at any time and we’ll take it down.
Any advertising, analytics, social or email account we create for you is opened in your business name, with you as the owner and us as a manager. Domains and hosting are registered to you.
If we stop working together, those accounts, their history and their data stay with you. We simply remove our access. We don’t hold accounts hostage and we don’t make you rebuild from zero.
Much of our work happens on platforms we don’t control — Google, Meta, LinkedIn, TikTok, Pinterest, email providers, hosts and content management systems. Their rules, pricing, features and algorithms change without notice, and their decisions are theirs.
We aren’t responsible for outages, policy changes, account suspensions or pricing changes made by those platforms. Where one affects your marketing, we’ll tell you promptly and propose a way around it.
We commit to the work described in your quote and to doing it properly. We don’t guarantee specific rankings, follower counts, lead volumes or revenue — nobody honestly can, and anyone who does is guessing.
What we do promise is transparency: real numbers each month, an honest read on what’s working, and a recommendation to stop spending on anything that isn’t.
We keep your business information, pricing, customer data and plans confidential, and we share them only with the people on our team who need them to do the work.
We ask the same of you regarding our pricing, proposals and methods. This obligation continues after our engagement ends. Where you handle personal information of your own customers through work we deliver, our privacy policy explains how we treat it.
We’ll do our work with reasonable skill and care. To the extent the law allows, our total liability for any claim connected to our services is limited to the fees you paid us in the three months before the claim arose.
Neither of us is liable to the other for indirect or consequential losses — lost profits, lost opportunities, or loss of data — and neither is liable for delays caused by events outside our reasonable control.
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Any dispute goes to the courts of Ontario — though we’d much rather sort it out over email first, and in twelve years we always have.
We may update these terms as our services change. The date at the top shows the current version, and existing clients get at least 30 days’ email notice of any material change. Questions about anything here? Ask us before you sign.
